Welcome to Sonusly, an independent platform for music lovers to discover, discuss, and share songs. These Terms of Service ("Terms") govern your access to and use of the Sonusly website and services (collectively, the "Services").

By using Sonusly, you agree to resolve disputes through binding individual arbitration and waive your right to participate in class actions. See Section 13 for details.

song information, album artwork, and other music-related content displayed on Sonusly is provided by Spotify through their API. this content:
we do not claim ownership of any music, recordings, or related content.
Sonusly uses the Spotify API to display music information such as song titles, artist names, album artwork, and discography data. this integration:

Sonusly uses a voting system where users can upvote posts. your accumulated upvotes are displayed as "karma."
karma is for community recognition only. it has no monetary value and cannot be redeemed for any goods, services, or real-world benefits.

nothing on Sonusly constitutes professional advice of any kind. user opinions about music are subjective and should not be relied upon for any important decisions.
to the maximum extent permitted by law, Sonusly and its creator(s) shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or use, whether based on contract, tort, strict liability, or any other legal theory, arising from or relating to:
in no event shall Sonusly's total liability to you exceed one hundred dollars ($100) or the amount you paid us in the past twelve months, whichever is greater.

before initiating arbitration, you agree to first contact us at contact@sonusly.com (subject: legal) to attempt to resolve the dispute informally. we will try to resolve it within 60 days. if we cannot, either party may proceed to arbitration.
payment of arbitration fees will be governed by AAA rules. for claims under $10,000, Sonusly will consider paying your filing fees and share of arbitrator fees if you cannot afford them.
you may opt out of this arbitration agreement by sending written notice to contact@sonusly.com (subject: arbitration opt-out) within 30 days of first accepting these terms. your notice must include your name, username, email address, and a clear statement that you wish to opt out of arbitration.
this arbitration agreement does not prevent you from bringing issues to the attention of federal, state, or local agencies. such agencies may seek relief on your behalf if the law allows.
if any part of this arbitration agreement is found unenforceable, the rest remains in effect. however, if the class action waiver is found unenforceable, the entire arbitration agreement is void.
you agree to indemnify, defend, and hold harmless Sonusly and its creator(s), affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

we may suspend or terminate your account or access to the services at any time, with or without notice, for any reason, including:

these terms, together with our privacy policy, constitute the entire agreement between you and Sonusly regarding the services, superseding any prior agreements.
these terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.
for any disputes not subject to arbitration, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in San Francisco County, California.
if any provision of these terms is found unenforceable, the remaining provisions will continue in full force and effect.
our failure to enforce any right or provision of these terms does not constitute a waiver of that right or provision.
you may not assign or transfer these terms without our written consent. we may assign or transfer these terms without restriction.

we reserve the right to modify, suspend, or discontinue the services (or any part) at any time with or without notice. we are not liable for any modification, suspension, or discontinuation.
any claim arising from these terms or the services must be filed within one (1) year after the claim arose, or it will be permanently barred.
we are not liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, government actions, internet failures, or third-party service outages.
Sonusly is an independent project created by music enthusiasts. we are not a registered company, and these terms create a binding agreement between you and the individual(s) operating Sonusly.
